Acceptance of Terms

By accessing or using the DocuStash service, whether through our website, mobile applications, or API (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legal agreement between you and DocuStash. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to change these Terms at any time. We will notify you of any material changes by posting the new Terms on the Service. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

Description of Service

DocuStash provides a document digitization and management platform that allows users to convert physical documents into searchable digital archives. The Service includes document processing, OCR (Optical Character Recognition), data extraction, and document management features.

User Accounts

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately if you suspect any unauthorized use of your account or any other breach of security.

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with any provision of these Terms.

User Content

The Service allows you to upload, submit, store, and share content, including documents, text, and other materials (collectively, "User Content"). You retain all rights to your User Content, but you grant DocuStash a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with providing and improving the Service.

You represent and warrant that:

  • You own or have the necessary rights to use and authorize DocuStash to use your User Content as described in these Terms;
  • Your User Content does not violate the rights of any third party, including intellectual property rights and privacy rights; and
  • Your User Content complies with these Terms and all applicable laws and regulations.

Prohibited Uses

You agree not to use the Service to:

  • Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;
  • Violate any third-party rights, including intellectual property rights;
  • Upload or transmit any form of malicious code or any content that may damage, interfere with, or disrupt the Service;
  • Attempt to gain unauthorized access to the Service, user accounts, or computer systems associated with the Service;
  • Engage in any activity that interferes with or disrupts the Service;
  • Use the Service for any illegal purpose or in violation of any applicable laws or regulations.

Intellectual Property Rights

The Service and its original content, features, and functionality are owned by DocuStash and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, create derivative works from, publicly display, publicly perform, republish, download, or transmit any portion of the Service without prior written consent from DocuStash.

Payment Terms

Some aspects of the Service may be provided for a fee. You agree to pay all fees associated with your use of the Service. All fees are in US dollars and are non-refundable unless otherwise specified. We may change our fees at any time by posting the changes on the Service. Your continued use of the Service after the fee change constitutes your agreement to pay the changed amount.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. DocuStash expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. DocuStash makes no warranty that the Service will meet your requirements, be available on an uninterrupted, secure, or error-free basis, or that defects will be corrected.

Limitation of Liability

In no event shall DocuStash, its officers, directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

Indemnification

You agree to defend, indemnify, and hold harmless DocuStash and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
